General Sales Conditions as of January 1, 2024
GENERAL PROVISIONS
Article 1.1 – Application of the General Sales Conditions: Any purchase of advertising space made by an advertiser or through an intermediary, acting in their name and on their behalf under a written mandate, with TLN Media, implies full and complete acceptance of these General Sales Conditions (GSC), rate, and regulation in force. TLN Media reserves the right to modify its GSC at any time, particularly to comply with legislative changes, provided that advertisers or their agents are informed one week before the effective date. These GSC apply to all commercial activity of TLN Media. Commercial advertising broadcast on print media or distributed on the Internet and marketed by TLN Media, is subject to the GSC below, which cover the period from January 1 to December 31, 2024. The fact that one of the parties has not demanded the application of any clause of these GSC, whether permanently or temporarily, cannot be considered as a waiver of the rights of that party arising from said clause. Any contrary condition set by an advertiser or their agent, particularly appearing in their own orders and/or in their general purchasing conditions, will not be enforceable against TLN Media without its prior, express, and written acceptance. These GSC, as well as the acts resulting from them, are subject to law.
Article 1.2 – Definitions: Advertiser: any legal or natural person who buys or has advertising space purchased from TLN Media. An advertiser, being part of a Group of companies, is entitled to the conditions applicable to that Group. A Group is defined as all companies owned at least 50% by the same legal entity as of January 1, 2024. Agent: any professional intermediary acting in the name and on behalf of the advertiser within the framework of a written advertising space purchase mandate contract.
Article 1.3 – Mandate: The purchase of advertising space can be made directly by an advertiser or, in their name and on their behalf, through an intermediary. In the event that the advertiser has entrusted their advertising space purchase to an agent, a mandate certificate signed by the advertiser and their agent must accompany the advertising order and specify the extent of the mandate granted. The mandate certificate is established for a calendar year, from January 1 to December 31, 2024. According to our provisions, the original invoice will be sent to the advertiser. A copy of the invoice will be sent to the agent for information if applicable. The advertiser commits to inform TLN Media, by registered letter with acknowledgment of receipt, of any modification relating to the mandate they have entrusted to their agent without delay.
Article 1.4 – Advertising Spaces: The advertising spaces offered are always subject to availability at the time of receipt by TLN Media of the advertising order.
Article 1.5 – Invoicing and Payment: Invoicing and payment conditions of TLN Media, acting on behalf of publishers: the advertiser is solely responsible for the payment of advertisements published under the conditions defined in the rate, even in case of agency mandate. Payment or advance made to the agent does not release them from their obligations towards TLN Media. The failure to execute one or more insertions does not entitle to any compensation and cannot exempt from the payment of justified advertisements. Payment conditions:
- By transfer 15 days before the publication date.
- Any delay in payment will result in:
- The immediate exigibility of all invoiced amounts remaining due and orders inserted but not yet invoiced.
- Cash payment upon placing the order for any new insertion or possibly the suspension of their execution.
- Billing of late payment interest calculated on the basis of a rate equal to three times the legal interest rate in force, payable upon receipt of the invoice.
- In case of non-compliance with the General Sales Conditions in terms of payment deadlines, the cumulation of mandate payment may be questioned.
- The exigibility of a penalty of 15% of the amounts due under penalty clause, in addition to any legal fees. All taxes, present or future, are charged to the advertiser and billed additionally. All our invoices are payable in dollars. Our drafts do not constitute a novation or derogation from this jurisdiction clause. In case of dispute, the Emirati courts have sole jurisdiction.
- Article 1.6 – Disputes: In the event that any of the stipulations of these GSC is held to be null or without object, it shall be deemed unwritten and shall not result in the nullity of the other stipulations. Any dispute or litigation that may result from the interpretation and/or execution of these GSC, and more generally from the formation and execution of advertising orders, will be brought before the courts of Dubai, recognized exclusively in an advertisement, as in no other way, without prior written authorization from TLN Media.
