Penske Automotive Moves Toward Private Ownership in $212-Per-Share Buyout

Penske Corp. and Mitsui & Co. have secured the company’s agreement to acquire the shares they do not already hold, as Penske Logistics continues to challenge a landmark ruling on carrier liability linked to a fatal 2018 crash.

Penske Automotive Group (NYSE: PAG) has agreed to a buyout by two of its existing corporate shareholders, setting the stage for the publicly traded automotive and commercial transportation group to return to private ownership. The transaction also comes as companies linked to Penske remain at the center of a closely watched legal dispute over carrier liability that has attracted considerable attention across the freight industry.

Following its review of a proposal first announced in July by Penske Corp. and Mitsui & Co. Ltd., Penske Automotive confirmed on Thursday that it had accepted the offer. The agreement covers approximately 27.8% of the company’s outstanding ownership that the two investors do not currently hold.

Once the transaction is completed, privately held Penske Corp. will control 64% of Penske Automotive, while Mitsui will own the remaining stake.

The agreed purchase price is $212 per share, up from the $210-per-share price included in the initial proposal announced in July. According to the prepared statement released by Penske Automotive, the revised offer represents a premium of approximately 20.09% over the company’s 60-day average volume-weighted share price and 26.17% over its 90-day average volume-weighted share price, measured over the period ending July 21, when the initial offer was made.

Leading automotive and commercial transportation group

Penske Automotive’s core business goes far beyond retail car sales, including commercial truck dealerships, vehicle distribution and a large stake in truck leasing and transportation services.

In its 2025 Form 10-K filing with the Securities and Exchange Commission, the company said it had about $27.5 billion in revenue from retail automotive dealerships. Retail commercial truck dealerships added $3.4 billion, while commercial vehicle distribution and other operations added $922.6 million.

The truck dealership business goes by the name Premier Truck Group and is the primary seller of Freightliner and Western Star trucks, both made by Daimler Truck (DTG.DE).

Penske Automotive also has a 28.9 percent interest in Penske Truck Leasing. In its 10-K filing, the company identifies Penske Transportation Solutions (PTS) as the umbrella brand that covers the various businesses of Penske Truck Leasing and reflects the depth of its service portfolio.

PTS integrates vehicle leasing and rental with maintenance, logistics and supply chain services. Services include full service truck leasing, truck rental, contract maintenance, dedicated contract carriage, distribution center management, supply chain management and dry van truckload transportation.

Penske Logistics Faces Key Carrier-Liability Dispute

Penske Logistics and its brokerage arm, Penske Transportation Management (PTM), are tangled in a legal fight over responsibility in a fatal road accident among companies linked to PTS.

The dispute arose from a shipment of automotive seats that had been originally booked by Penske Logistics. Later, the load was brokered to PTM, which moved it to another carrier. That carrier then brokered the freight to a subsequent transportation provider that was part of a fatal crash in 2018.

Lyndon Dean Meyer was killed Dec. 26, the day after Christmas, in the accident. The litigation has revolved around whether Penske Logistics can be held liable even if it is several steps removed from the carrier directly involved in the collision.

Penske initially prevailed at the lower court level, where a ruling found the company not liable. But the outcome was overturned on appeal when the Fifth Circuit reversed that decision, holding that Penske Logistics could potentially be liable for the fatal accident despite the distance between its original shipping arrangements and the carrier involved in the crash.

The ruling has brought new scrutiny on the responsibilities of freight brokers and logistics companies, especially when shipments go through multiple intermediaries before reaching the carrier that does the transportation.

Now, Penske Logistics is asking for a rehearing en banc, asking the full Fifth Circuit to reconsider the appellate court’s decision. The request has encountered resistance from the victim’s estate, another major development in a case that has been closely followed across the transportation industry.

So, the proposed acquisition would take Penske Automotive private while the related litigation continues, and broader questions about carrier liability and freight-broker responsibilities remain unanswered.
