Air Transport Services Group (ATSG), a major provider of aircraft leasing, air transportation and aviation support services, has agreed to sell its passenger ACMI and charter subsidiary, Omni Air International, to OAI Holdings, LLC. The financial terms of the transaction were not disclosed.
ATSG said the sale is designed to support its long-term strategy of concentrating investment and resources on its core air cargo and related aviation services businesses.
The company operates as an integrated aviation group, bringing together aircraft leasing, cargo and passenger airline operations, aircraft maintenance and support services to provide flexible, end-to-end solutions to customers around the world. Its fleet includes Boeing 767, Airbus A321 and Airbus A330 freighters, as well as Boeing 777 and 767 passenger aircraft used for global ACMI and charter operations.
ATSG’s subsidiaries include ABX Air, Airborne Maintenance & Engineering Services, Air Transport International, Cargo Aircraft Management and Omni Air International.
Following the completion of the transaction, ATSG’s business portfolio will be focused on air cargo transportation, aircraft leasing, and associated maintenance and logistics services. OAI Holdings is a private company whose management team brings extensive experience across the aviation sector.
Greg Mays, President and Chief Executive Officer of ATSG, said the agreement is consistent with the company’s broader strategic priorities.
“We have been assessing strategic options for Omni for some time given the significant opportunities in air cargo,” Mays said.
He added that the transaction will enable ATSG to direct more of its resources toward the cargo market and the customers connected to those activities. According to Mays, OAI’s decades of experience in aviation also make it an appropriate new owner for Omni and its customers.
Founded in 1993, Omni Air International specialises in passenger air transportation and provides customised charter services to commercial and government customers worldwide. The company also supports airlines through ACMI wet leasing, supplying aircraft and operating resources, while offering airline startup, route development and aircraft management services.
Omni operates as an FAR Part 121 and IOSA registered airline and is headquartered at Tulsa International Airport in Oklahoma. Each year, it operates passenger charter services to more than 80 countries, primarily on behalf of US and allied governments, scheduled airlines and charter customers.
Its passenger fleet consists of Boeing 777-200ER, 767-300ER and 767-200ER aircraft.
OAI said it plans to build on Omni’s established position in the passenger ACMI and charter markets as the airline enters what the companies describe as its next phase of development, with a long-term focus on expanding that business.
The acquisition does not include a financing contingency. Completion is subject only to limited customary closing conditions, including regulatory approval that is typical for transactions of this nature.
The deal is expected to close during the fourth quarter of 2026 or in early 2027.
Goldman Sachs & Co. LLC is serving as financial adviser to ATSG, while Simpson Thacher & Bartlett LLP and Hogan Lovells Cadwalader US LLP are providing legal counsel.
BDT & MSD Partners is acting as financial adviser to OAI, with Spencer Fane, LLP serving as its legal adviser.
